Furthermore, the board structure should reflect the company's ownership structure, as well as have the ability of making neutral and independent decisions and evaluations of the company's activities and management. Remuneration to the board of directors shall be at a competitive level such that an optimal board structure is maintained. Remuneration to the board of directors is stipulated at the annual general meeting. VMETRO asa's board of directors consists of 5 members elected by the shareholders. In accordance with the regulations, there should be from 3 to 7 members on the board, all of whom are elected at the annual general meeting. Each board member has a tenure of one year. The board members appoint the chairman of the board.

He has a BSEE (1972) and MSEE (1973) from South Dakota School of Mines and Technology. He is currently Director of MNS Partners LLC (UK). Prior to this position he has held many leadership positions in international companies, including President and CEO of IsInvest, Inc. (NJ, USA) and  IT-director of Telenor Research and Development. Has over 15 years experience in the telecommunication and software industry.		0
	Thomas Moen	Employee Representative	1976	Thomas graduated from the Norwegian University of Technology and Science with a Masters Degree in Physical Electronics in1999. After finishing his degree at the Norwegian Defense Research Establishment, he joined Nordic Semiconductor as an ASICdesigner, mostly working on digital designs.
